SEC Regulatory Framework Update
The SEC has proposed a significant modernization of transfer agent rules that have remained largely unchanged since the 1980s. The proposal directly addresses the emergence of blockchain-based recordkeeping, tokenized securities, and increasingly automated market infrastructure. This regulatory update signals an acknowledgment by the agency that legacy frameworks require adaptation to accommodate on-chain settlement and securities issuance.
The scope of the proposal covers the operational and compliance requirements for entities managing security transfers in a digital environment. By updating rules designed for traditional market infrastructure, the SEC is establishing clearer guardrails for how blockchain technology can be integrated into securities markets while maintaining investor protections.
