SEC Advances Regulation Crypto in Absence of Congressional Legislation
The Securities and Exchange Commission announced "Regulation Crypto Assets," a new framework for crypto investment contracts that marks the first major SEC rulemaking on digital assets. The proposal creates safe harbors preventing certain tokens from being classified as investment contracts and establishes exemptions for token issuance and capital raising without full securities registration. The announcement followed the SEC's cancellation of a previously scheduled vote on the matter, signaling a shift in regulatory approach.
The SEC's move comes as the Clarity Act—proposed bipartisan legislation intended to clarify crypto regulatory jurisdiction—has stalled in Congress. Rather than wait for legislative clarity, the regulator has opted to fill the gap with administrative rulemaking. The proposal aims to provide companies with a defined path for token offerings while maintaining investor protections under existing securities law.
